CARE.COM CARE HERO OFFICIAL RULES

1. ELIGIBILITY

NO PURCHASE NECESSARY TO ENTER OR WIN.

Care.com “Care Hero” Contest is open to all legal residents living in the United States or the District of Columbia who are at least 18 years of age. The Promotion is void in Puerto Rico and in any other jurisdiction where the Promotion is prohibited or otherwise restricted by law, rule or regulation. Employees of Care.com, Inc. and members of their immediate families (parents, children, siblings, and their respective spouses) and their household members (whether or not related) are not eligible. This Contest is governed by U.S. law and is subject to all applicable federal, state and local laws and regulations. Entrants agree to be bound by these Official Rules and their participation constitutes acceptance of the terms and conditions contained herein. If you desire to enter the Contest other than enrolling online please mail your entry to Care.com, Inc., Attn: Care Hero Contest 1400 Main Street, Waltham, MA 02451. Entries must be postmarked by November 15, 2009. Entries will not be acknowledged or returned. Participants agree not to hold Care.com, their partners, their employees and/or their affiliates responsible for lost, misdirected, incomplete, or illegible entries.

3. SELECTION AND NOTIFICATION OF WINNERS.

Three Finalists will be selected by a panel of judges on or about each of the following dates: November 10, 2009, November 17, 2009, November 24, 2009, and Decemeber 1, 2009. One Grand Prize Winner will be selected from among the 12 Finalists on or around December 1, 2009. Odds of winning will depend upon the number of eligible entries received within the Entry Period. Decisions of judges are final. Any entrant who is selected shall be deemed a potential winner, and such entrant and his/her entry shall be subject to verification and compliance with the requirements of these Official Rules. Potential winners will be notified by mail, telephone or email to the address, telephone number or email address listed in their nomination. If any prize notification is undeliverable or in the event of non-compliance with any of the requirements of these Official Rules, the prize will be forfeited in its entirety and an alternate potential winner will be selected from the remaining eligible entries received for the applicable contest.

4. PRIZE & APPROXIMATE RETAIL VALUE.

The grand prize winner will receive $500 in gift certificates for dining, entertainment, and a hotel stay and will also receive a gift bag from Care.com. Total retail value of prize is $550. The person who nominated the grand prize winner will receive a $100 dining gift certificate and a gift bag from Care.com. Total retail value of prize is $150. The eleven other finalists will each receive a $100 dining gift certificate. Total retail value of prize is $100. The people who nominated the eleven finalists will each receive a free three-month subscription to Care.com. Total retail value of prize is $60. Limit one prize per winner. Prizes cannot be redeemed for cash and no substitution or transfer of such prizes by winner is permitted. Sponsor reserves the right to substitute a similar prize of equal or greater value in its sole discretion. Winner is responsible for federal, state, and local taxes, if any, on a prize based upon the value of the prize as set forth in these rules and is also responsible for all other costs and expenses not explicitly stated herein as being included. Any trademarks used in this promotion are the property of the respective trademark owners and are used herein for identification purposes only. All details of all prizes shall be in Sponsor’s sole discretion, and certain restrictions may apply. Winners agree that all prizes are being provided “as is,” with no warranty or guarantee, either expressed or implied.

5. GENERAL RULES.

Void where prohibited by law. All federal, state and local laws apply. Potential prize winners may be required to sign and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form within ten (10) days of attempted notification. Noncompliance within this time period or return of any prize/prize notification may result in disqualification and an alternate will be selected. Acceptance of prize constitutes permission to the sponsor and its agencies to use winner’s name and/or likeness for purposes of advertising and trade without further compensation, unless prohibited by law. By accepting prize, winners agree to hold sponsor, its respective directors, officers, employees and assigns, harmless against any and all claims and liability arising out of use of prize. Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this promotion or use or redemption of any prize. By participating in this promotion entrants agree to be bound by the Official Rules and the decisions of the judges. Not responsible for incomplete, lost, late, damaged, illegible, misdirected entries, for technical hardware, software failures of any kind, lost, unavailable network connections, or failed, incomplete, garbled or delayed computer transmission, which may limit a user's ability to participate. Sponsor reserves the right in its sole discretion, to cancel, suspend or modify the Contest (or any portion thereof), or to disqualify any implicated entrant(s), if any fraud, virus, actions by entrants, technical or other error or problem, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Contest, as determined by Sponsor in its sole discretion. In the event of cancellation, Sponsor reserves the right, at its sole discretion, to award the prizes not already awarded to an alternate winner in a random drawing of all eligible entries received up to the time of the event or action warranting such cancellation. In the event this Contest is cancelled prior to the stated expiration date, notice will be posted at www.carehero.com Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws, and should such an attempt be made, sponsor reserves the right to seek damages from any such entrant to the fullest extend permitted by law. In the event of such a dispute or in the event a potential winner entered via internet and a dispute arises regarding specific individual entitled to receive a prize, entries made by internet will be declared made by the person that first submitted the disputed entry and any damage made to the web site will also be the responsibility of the person who made the entry. Care.com is not responsible for any claims relating to any inaccurate, untimely or incomplete information provided by applicants or nominees. You are solely responsible for any content, photos, or videos (collectively, “content”) that you submit to the Care Hero Contest. You will not submit any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to Care.com or to any other user of the Site. You understand and agree that Care.com may review and refuse any Content, in each case in whole or in part, that in the sole judgment of Care.com violates this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users of the Site.
