China’s New Tort Law

In developed countries tort is one of the most significant bodies of law, addressing all civil wrongs that do not arise from contracts. 2010 will see China issue a new law on tort, which will give a completely new platform for litigation against comp...anies or individuals. Not only will there be a stronger legal basis, but there will also be greater social awareness of the right to sue when the law is publicised. (A similar spike in litigation occurred after 1999 when China created its "Contract Law".) This is particularly relevant to foreign invested companies because foreign companies are seen as easy targets by Chinese litigants.

Elements covered will include:
How will the new law change companies’ risk exposure?
What changes will the new law introduce?
Timing, last-minute changes to the draft, and procedure for implementation of the new law.

Who Should Attend?
People working in foreign invested enterprises, particularly entities that have significant brand recognition or extensive operations in China, or who employ large numbers of staff. It will also be useful for legal counsel of foreign invested enterprises in China.

John Shi
John is a partner and Chief Representative of Mallesons Stephen Jaques' Beijing office. He has been based in China for 13 years and is a native speaker of Mandarin.
A US qualified lawyer, John advises on all aspects of foreign direct investment and on all types of corporate structures and operational issues in China. He represents clients from a wide array of industries including financial services, oil and gas, publishing and media, mining, manufacturing, aviation, chemicals and pharmaceuticals.
Nicolas Groffman
Nic is a Senior Associate in Mallesons’ Beijing office with ten years experience practising law in China. He advises on a variety of issues relating to foreign investment in the PRC, including environmental and clean energy projects, the establishment and restructuring of foreign invested enterprises, mergers and acquisitions and financing. Nic also has expertise in education law, including establishment of Sino-foreign schools, and in the laws and regulations surrounding renewable energy and CER purchase.
Nic is qualified as a solicitor in England & Wales. He speaks fluent Mandarin and reads and writes Chinese, and has published several articles about foreign investment in China.

On April 30, 2009 the long-awaited Merger and Acquisition Tax Rules were released and are retroactive to 1 January 2008. This is the first time the Chinese government has... issued a comprehensive set of M&A tax regulations to address the tax treatment of varieties of M&A. What do these regulations mean to companies and investors? How can stakeholders utilize them to defer or reduce tax payment? You are invited to attend this seminar where we will discuss:
• The key provision of the new M&A Tax Rules
• How the new rule will impact on the M&A transactions and restructuring

GUEST SPEAKERS

Mr. Nick Cham is a tax partner with Deloitte’s Beijing tax practice. He has over 15 years experience in advising clients on corporate tax issues. His focus is providing M&A and International Tax advisory services for a wide range of clientele including North American, European and Chinese multinational corporations. His clientele includes a number of high-profile strategic and private equity investors. Prior to practicing taxation in China, Nick worked in the U.S. and Canada, specializes in international corporate taxation. Nick has advised clients on cross-border M&A, restructuring, repatriation, financing strategies, transfer pricing and other international tax issues.

Nick is a U.S. Certified Public Accountant and a Commonwealth Scholar. He holds a Master of Law (European & International Tax) from the Katholieke Universiteit Leuven and a Master of U.S. Taxation from the University of Denver College of Law. He also holds a B.B.A. in Accounting from the University of Massachusetts. He has published articles in several major international tax journals and is a frequent speaker at conferences and seminars on Chinese taxation topics.

Mr Alderman Ian Luder took office as the 681st Lord Mayor of the City of London on Friday 7th November 2008. As Lord Mayor he promotes the Square Mile as the world's leading international financial and business centre, and his project is sponsoring the spread of financial literacy. He qualified as a Chartered Accountant and as a Chartered Tax Adviser with Arthur Andersen and is a tax and financial planning specialist. He was a partner in Arthur Andersen from 1989 to 2002, heading their Private Client Practice for over a decade. Protecting your business from Chinese competition regulators

The PRC Anti-Monopoly Bureau has imposed conditions on business transactions under
the Anti-Monopoly Law (AML) since ...it came into effect on 1 August 2008. Chinese
regulators have also started to publish guidelines and interim measures outlining
how they propose to take action against companies under the AML, including fines of
up to 10% of turnover. At this breakfast seminar, our guest speaker, Martyn
Huckerby of Mallesons, Stephen Jacques, will talk about:
how the AML impacts firms contemplating acquisitions in China or abroad;
and
the potential fines and penalties that apply under the AML and how
businesses can avoid them; and
